This presentation features a “breach quarterback” building on his decades of real-world experience talking about complex cyber, legal, compliance, and regulatory issues in a practical way that normal people can understand and apply to help their banks be better prepared for and resilient to overall business cyber risk. He will discuss what actual cyber incidents he sees affecting banks, the lifecycle of a cyber-attack (such as ransomware attack) and address key phases such as: what they are, how they happen, what the process is for recovery and investigation, and what can be done ahead of time to prepare for and hopefully prevent them from happening. He will address many legal, compliance, and regulatory issues that arise from such attacks and explain how the consequences of these issues can impact the bank for years. He will then demonstrate how this understanding should inform and guide how banks develop and mature their cyber risk management program with a foundation that focuses on the end goal of what must be done when the unthinkable happens so that, if it does, they are prepared and able to meet their obligations.

Beneficial Ownership Rules Update
Last December, FinCen issued Preliminary Regulations under the Corporate Transparency Act requiring many entities to register their beneficial ownership interests (“BOI”). FinCen has also announced that two more sets of regulations will issue, the last of which will be to conform the current Customer Due Diligence rules (“CDD”) to the expanded definitions and scope of BOI under FinCen’s new rules. This presentation will provide a preview of FinCen’s new regulations and how they might impact your CDD going forward.

Section 1071: Defiance and Complaince
Congress directed the CFPB to adopt regulations governing the collection of small business lending data and Section 1071 of the Dodd-Frank Act amended the Equal Credit Opportunity Act (ECOA) to require financial institutions to comply, maintain, and submit certain data on applications for credit for women-owned, minority-owned, and LGBTQI+-owned businesses. This presentation will provide an update on where we stand from a litigation and compliance standpoint in this rulemaking.
